Alpine Ski Club
Articles of Incorporation of the Alpine Ski Club, Inc.
An update to the Articles of Incorporation was voted on and approved at
the October 2001 meeting.
ARTICLE I: NAME
The name of this club shall be the Alpine Ski Club, Inc., a not-for-profit corporation
ARTICLE II: OBJECT
The object of this club is to perpetuate and encourage skiing and the social fellowship
which naturally attends skiing and other activities.
ARTICLE III: MEMBERSHIP
The active membership shall be open to all persons interested in skiing, provided
he or she meets the requirements set forth in the By-Laws.
ARTICLE IV: GOVERNMENT
The government and the affairs of the club shall be conducted by a Board of Directors,
composed of the elected Directors. Major policy decisions shall be decided by
a vote of the Board of Directors, composed of the Directors then in office as
set out in Article V, subject to overrule by a vote of the general membership.
No policy can be decided without a quorum present at a meeting of the Board of
Directors. A quorum shall consist of 60% of the Directors.
ARTICLE V: DIRECTORS AND OFFICERS
The club shall elect six Directors. Directorswill be elected for a two-year term.
The terms shall begin on May 1st following the election.
All members of the Board of Directors, whether officers or not, shall have
one vote at all Board meetings.
The officers of the Alpine Ski Club, Inc. shall be the President, Vice President,
Treasurer, and the Secretary. They shall serve for a term of one year from May
1 to April 30 and shall be elected at a meeting in April of all elected Directors.
The President, Vice-President, and Secretary must be selected from the Board
of Directors by a majority vote of the Board. The Treasurer may be a Director
and shall be appointed by the President with the approval of the Board of Directors.
Upon appointment, the Treasurer, if not already a Board member, shall become
a voting member of the Board of Directors for his or her term of office.
No officer shall hold the same office more than two consecutive terms.
Vacancies in the officers and Directors shall be filed as stated in the By-Laws.
Officers and Directors shall serve in accordance with the guidelines set up
in the By-Laws as interpreted by the Board of Directors.
ARTICLE VI: COMMITTEES
Committee chairpersons shall be appointed by the supervising board member and
approved by the board of directors.
ARTICLE VII: MEETINGS
Regular meetings shall be scheduled by the President subject to approval by the
Board of Directors. Special meetings of the members may be called at any reasonable
time by the President.
ARTICLE VIII: FISCAL YEAR
The fiscal year for this club shall be from May 1 to April 30 of the following
ARTICLE IX: AMENDMENTS
The Articles of Incorporation of the Alpine Ski Club, Inc. may be amended at any
regular meeting by two-thirds affirmative vote of the members present. Written
notice of the subject matter of any proposed amendment must be sent to the general
membership at least ten days before said meeting.
ARTICLE X: ADOPTION
This constitution shall become effective 30 days after the affirmative vote of
two-thirds of the members present at the regular meeting held after ten days written
notice that this constitution is to be voted upon.
